How to Register a Sole Proprietorship in India

Choose a Business Name and Activity

Select a unique name for your business. For a sole proprietorship, the business is registered in your own name or a trade name. There is no formal name approval required (unlike a company). Decide on the nature of business: trading, services, or manufacturing.

Register for GST (If Applicable)

If annual turnover exceeds ₹20 lakh (₹10 lakh for special category states), GST registration is mandatory. Even below threshold, voluntary GST registration gives your business a unique GSTIN which acts as proof of existence. Apply at the GST portal.

Register as MSME on Udyam Portal

Visit udyamregistration.gov.in and register as a Micro, Small, or Medium Enterprise. Udyam registration is free, instant, and gives access to government schemes, priority lending, and subsidies. Use your Aadhaar and PAN to register.

Open a Current Bank Account

Open a business current account in your bank. Banks require: Aadhaar, PAN, address proof, GST certificate or Udyam certificate, and trade licence (if any) as Know Your Customer (KYC) documents for the proprietorship.

Obtain Other Licences as Required

Depending on the business type, you may need: FSSAI licence (food businesses), Shop and Establishment Act registration (commercial premises), Import Export Code (IEC) for export/import, or professional tax registration.

Do I need to formally register a sole proprietorship?

There is no single mandatory registration for a sole proprietorship, but you establish its legal existence through GST registration, Udyam registration, and a current bank account. The combination of these documents is accepted as proof of the business.

What is the tax treatment of a sole proprietorship?

A sole proprietorship is taxed as an individual. Business income is reported in the proprietor's personal ITR (ITR-3 or ITR-4). There is no separate corporate tax. You pay income tax at the applicable individual slab rates.

Can a sole proprietorship have employees?

Yes. A sole proprietor can hire employees. If you pay employees, you must deduct TDS on salary and deposit it. If total employees exceed 20, PF registration becomes mandatory. ESI is required if employee count exceeds 10.
